Terms and Conditions

Welcome to The Gas Sauna Company (“Company,” “we,” “our,” “us”)! These Terms and Conditions (“Terms”) govern your use of our websites, https://thegassaunacompany.ca/ and https://thegassaunacompany.com/ (the “Sites”), and any Products or services provided through the Sites. By accessing or using our Sites, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Sites.

1. Eligibility

To use our Sites, you must:

Be at least 18 years old or the age of majority in your jurisdiction.
Have the legal capacity to enter into a binding agreement.
Comply with these Terms and all applicable laws.

2. Account Registration

To access certain features of our Sites, you may need to create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and update your account information to keep it accurate and current.
Safeguard your account credentials and notify us immediately of any unauthorized use.
Be responsible for all activities under your account.

3. Purchases and Payments

If you purchase Products (defined as any sauna heater, accessory, or other item offered for sale by The Gas Sauna Company, including but not limited to models like the G65) or services through our Sites, you agree to:

Provide valid payment information.
Pay all charges incurred by your account, including taxes and shipping fees.
Comply with any additional terms provided during the checkout process.
We reserve the right to refuse or cancel orders for any reason, including pricing errors, product availability, or suspected fraud.

3.1. Pre-Order, Delivery, and Cancellation Terms

The following terms apply specifically to Products purchased on a pre-order basis where the Product is in the final stages of design, production, or certification and has not yet shipped.

A. Agreement and Payment: By placing a Pre-Order with The Gas Sauna Company, you acknowledge that you are purchasing a Product that is not immediately available for delivery. You authorize us to charge the full Purchase Price, including all fees and taxes, at the time the order is placed to secure your reservation and priority production slot.

B. Estimated Maximum Delivery Date: The current estimated maximum delivery date is February 28, 2026. This date is the target for the completion of fulfillment preparations. The Gas Sauna Company will not be liable for any delays where the Customer’s sole recourse is the right to cancel and receive a refund as specified in section 3.1(D).

C. Customer-Initiated Cancellation (Change of Mind):

The Customer may cancel a Pre-Order for any reason (i.e., change of mind) at any time before the Product has entered the final shipping preparation phase.

If the Customer cancels under this section, the Purchase Price will be refunded minus a non-refundable cancellation fee equal to 25% of the original Purchase Price. This fee covers administrative costs, payment processing fees, component reservation, and lost priority slot allocation, and is acknowledged as a genuine pre-estimate of damages incurred by the Company.

D. Mandatory Refund Right (Company Delay):

In accordance with the Ontario Consumer Protection Act, 2002, if The Gas Sauna Company fails to provide the Product for delivery or pickup within thirty (30) days after the estimated maximum delivery date of February 28, 2026 (i.e., if delivery has not occurred by March 30, 2026), the Customer shall have the right to cancel this Pre-Order for a full refund of the entire Purchase Price, unless the Customer expressly agrees to a new, extended delivery date provided by The Gas Sauna Company.

E. Company Right to Cancel:

The Gas Sauna Company reserves the right to cancel any Pre-Order at any time prior to delivery due to unforeseen production, certification, or supply chain issues. In the event of Company cancellation, the Customer shall receive a full refund of all amounts paid.

3.2. Post-Delivery Returns and Refunds

The following terms apply to all Products that have been successfully delivered to the Customer and are being returned for reasons other than warranty claims or Company error.

A. Eligibility Window:

To be eligible for a return, the Customer must initiate the return process and the Product must be received by The Gas Sauna Company within thirty (30) days from the date the Product was delivered, as recorded by the freight carrier’s tracking information.

B. Condition of Return:

All returned Products must be:

Unused, uninstalled, and in the same condition that they were received.
Returned complete with all original components, accessories, manuals, and documentation.
Repackaged securely in the original packaging or packaging that provides equivalent protection against transit damage.

C. Return Shipping Responsibility:

All shipping and freight costs associated with the return of the Product are the sole responsibility of the Customer. The Customer must use a carrier that provides tracking and signature confirmation, as The Gas Sauna Company is not responsible for Products lost or damaged during return transit.

D. Inspection and Restocking Fee:

Upon receipt, all returned Products are subject to a thorough inspection.
If the inspection confirms the Product is eligible for return (i.e., meets conditions in 3.2.B), a refund will be issued minus a restocking fee equal to 30% of the original Purchase Price. This 30% fee is non-refundable and includes all administrative costs, processing fees, and the cost of preparing the unit for resale.
The refund issued to the Customer will therefore be 70% of the original Purchase Price.
If the inspection finds the Product has been used, installed, damaged, or is missing original components, The Gas Sauna Company reserves the right to reject the return, and the Product will be returned to the Customer at the Customer’s expense, or a higher fee (up to 100% of the Purchase Price) may be applied.

E. Refund Process:

Refunds will be processed to the original method of payment within 14 business days following the satisfactory completion of the return inspection. The Customer will receive an email notification once the refund has been processed.

3.3. Force Majeure

The Gas Sauna Company shall not be liable for any delay or failure in performance of any obligation under these Terms (other than the obligation to pay money) caused by events beyond our reasonable control, including but not limited to, acts of God, war, terrorism, embargoes, fire, flood, accident, strikes, pandemics, government regulation, or shortages of material or transportation. The time for our performance shall be extended for a period equal to the duration of the delay caused by the event.

3.4. Taxes, Duties, and Importation

The Customer is solely responsible for all sales taxes, use taxes, Harmonized Sales Tax (HST), Goods and Services Tax (GST), Provincial Sales Tax (PST), customs duties, brokerage fees, and any other governmental charges or fees associated with the purchase and importation of the Product. For international shipments, the Customer acts as the importer of record and must comply with all laws and regulations of the destination country.

4. Installation and Code Compliance

A. Professional Installation Required: The Customer acknowledges that the Product (which may be a specific model such as the G65, or any other heater sold by the Company) is a complex gas appliance and must be installed, maintained, and serviced by a qualified, licensed, and certified professional in accordance with all manufacturer’s instructions, local building codes, plumbing codes, electrical codes, and gas codes (e.g., CSA B149.1/2 in Canada or equivalent local standards).

B. Customer Responsibility: The Customer is solely responsible for verifying and ensuring that the installation site, the installation itself, and the use of the Product comply with all applicable laws, permits, and inspection requirements of the local Authority Having Jurisdiction (AHJ).

C. No Installation Liability: The Gas Sauna Company is not liable for any damages, injury, or loss arising from, or related to, the installation, uninstallation, maintenance, or improper use of the Product, nor for any failure to obtain necessary permits or comply with local regulations.

D. Product Certification: The Customer acknowledges that the Product bears the ETL Certification Mark. This certification verifies the Product’s compliance with safety standards in both the United States (equivalent to UL Standards) and Canada (equivalent to CSA Standards) for the gas appliance industry.

5. Intellectual Property

All content on our Sites, including text, graphics, logos, images, and software, is the property of The Gas Sauna Company or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, or distribute any content without our prior written consent.
Use our trademarks or logos without permission.
Use any automated tools (e.g., scraping, data mining) to access or extract content.

6. User Conduct

You agree not to:

Use our Sites for any illegal or unauthorized purpose.
Post or transmit harmful, offensive, or infringing content.
Interfere with the operation of our Sites or the experience of other users.
Attempt to gain unauthorized access to our systems or networks.

7. Third-Party Links

Our Sites may contain links to third-party websites or services. We are not responsible for the content or practices of these third parties. Your use of third-party sites is at your own risk.

8. Disclaimer of Warranties

Our Sites and Products are provided “as is” and “as available” without warranties of any kind, either express or implied, EXCEPT FOR THE SEPARATE, WRITTEN LIMITED WARRANTY PROVIDED WITH THE PURCHASED PRODUCT. We do not guarantee that:

The Sites will be error-free or uninterrupted.
The Products will meet your expectations or requirements.
The results obtained from using the Sites or Products will be accurate or reliable.
Notwithstanding the foregoing, no disclaimer in this Section 8 is intended to exclude or limit any warranty or guarantee that cannot be excluded or limited under applicable Canadian consumer protection laws.

9. Limitation of Liability

To the fullest extent permitted by law, The Gas Sauna Company and its affiliates will not be liable for any:

Indirect, incidental, or consequential damages.
Loss of profits, data, or business opportunities.
Damages arising from your use of or inability to use our Sites or Products.
In jurisdictions where limitations of liability are restricted, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless The Gas Sauna Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from:

Your use of our Sites or Products.
Your violation of these Terms.
Your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to our Sites at any time, with or without notice, for any reason, including:

Violation of these Terms.
Fraudulent or abusive behavior.
Requests from law enforcement or government authorities.
Upon termination, your right to use our Sites will immediately cease.

12. Governing Law

These Terms, including all Pre-Order and sale transactions, are governed by the laws of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

13. Dispute Resolution

For Canadian and U.S. Users:
Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association. Arbitration will take place in Ontario, Canada, and the arbitrator’s decision will be final and binding.

For EU Users:
If you are a consumer in the European Union, you may bring disputes in the courts of your country of residence. We may also bring disputes in the courts of your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our Sites with the new Effective Date/Version Number. Your continued use of our Sites after the changes constitutes acceptance of the revised Terms.

15. General Provisions

A. Assignment: The Customer may not assign or transfer any of their rights or obligations under these Terms without the prior written consent of The Gas Sauna Company. Any attempted assignment in violation of this Section is void.

B. Privacy Policy Incorporation: The Company’s Privacy Policy, which explains how we collect and use your personal information, is hereby incorporated into these Terms by reference. By using the Sites or purchasing a Product, you agree to be bound by the terms of the Privacy Policy.

C. Severability: If any provision of these Terms is found to be illegal, invalid, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of these Terms will remain in full force and effect.

D. Waiver: The failure of The Gas Sauna Company to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of The Gas Sauna Company.
